Corporate Documents Guide

Depending on your trade you may be required to have a business in order to obtain a license from The New York City of New York Department of Buildings This guide will outline the necessary documents required by specific business types.

The types of trades required to have businesses in order to obtain licensure/registration numbers are:

  • Master Plumbers
  • Master Fire Suppression Piping Contractor
  • Master/Special/Tower Crane Riggers
  • Master/Special Sign Hangers
  • Oil Burner Equipment Installers
  • General Contractors
  • Safety Registrations

Specific licenses/registrations will require different corporate documents.

Corporations

All corporations must provide the following documentation:

  • A certified copy of your corporation's Filing Receipt, or Certificate of Good Standing
  • A copy of your corporation's minutes stating the names of the corporation's elected officers and the time, date, and location of the meeting
    *Note: The applicant must be an officer of the corporation*
  • Corporate By-Laws or Articles of Agreement. If there are none, an affidavit must be provided on a Corporate Letterhead stating such
  • An Affidavit with the Corporate Name showing Officers of the Corporation stating their: Names, Titles, Address, and License Number (if any). The Affidavit must contain declaration stating that the President of the Corporation will notify the Department of Buildings within ten (10) days of any changes in the Officers where they are Licensed or Unlicensed. This is for Riggers only
  • Stock certificates this is for Master Plumbers/Fire Suppression Contractors only
  • Corporation must have a Business Address in the City of New York. You must submit a Utility Bill, Bank Statement, or Lease/Deed with the company and business location
  • A current phone bill with the company's business phone number and address

Limited Liability Corporations

All LLCs must provide the following documentation:

  • A copy of your LLC's Filing Receipt or Certificate of Good Standing
  • A certified copy of your LLC's Articles of Organization from the New York State Department of State
  • A copy of your LLC's Operating Agreement. If there are none, an affidavit must be provided on a Corporate Letterhead stating such
  • A copy of your LLC's minutes stating the names of the LLC's elected officers and the time, date and location of the meeting. The applicant must be an officer of the company

Sole Proprietorships/Partnerships

All partnerships must provide the following:

  • Your partnership's Certificate of Partnership stating all present officers and their percentage of ownership

All individuals with a business name (sole proprietors) must provide the following documentation:

  • A copy of your Business Certificate from the County Clerk

Businesses Located Outside of New York State

All companies formed outside of New York State must provide the following documentation:

  • A certified copy of your Application for Authority from the New York State Department of State
